Definitions:
Product: Gocycle e-bikes, products or services offered by Greenmiles
Parties: Greenmiles, customer, consumer.
Customer: any physical or legal person who has entered into an agreement with Greenmiles n.v.
Consumer: a customer who is also an individual and acts as a private person.
Article 1 General & Applicability:
By visiting and using this website, you accept the provisions of these terms of use without limitation and without reservation. If one of the provisions of these terms and conditions proves to be inapplicable or conflicts with a provision of mandatory law, this inapplicability will not affect the validity and applicability of the other provisions. In that case, an invalid provision will be replaced by a provision that is as close as possible to what Greenmiles had in mind when drawing up that provision.
Greenmiles reserves the right to modify these terms and conditions at any time, provided that users are notified on this website or by email. Our terms and conditions apply to all offers, quotations, activities, orders and deliveries of services or products from Greenmiles.
Parties may only deviate from these conditions if they have expressly agreed to this in writing. All other additional and/or deviating terms and conditions of the customer or third parties are expressly excluded by the parties.
To place an order on our website, you must be at least 18 years old. If you are not 18, we ask that you have your parent or legal guardian place the order. Placing an order on the website constitutes explicit acceptance of our general terms and conditions. If you order online, we ask whether you agree with our general terms and conditions before you can complete and pay for the order. You will receive another copy of these general terms and conditions together with the order confirmation or at the latest upon delivery. If additional special conditions apply in addition to these general terms and conditions, the above also applies to those special conditions.
Article 2 Offers, quotations, promotions, orders and purchases:
If an online promotion or offer only has a limited period of validity or is subject to certain conditions, we will explicitly state this.
We always describe what we sell to you as accurately as possible. If we use images, they are intended to be decorative with maximum truthfulness. However, to err is human and if this is the case, we are not obliged to deliver.
Your order is complete and the agreement between us is final as soon as we confirm your order and receive approval of your payment transaction. Orders without valid payment will not be accepted or processed.
To purchase a product, add the product to your shopping cart, choose your method of delivery: delivery to your chosen address, or pick up at the Greenmiles Gocycle store and follow the further site instructions to complete the order and to be paid according to the offered methods of payment. In the last step you will receive an overview page and you accept our general terms and conditions. Once you have completed these steps, your purchase is final.
Quotations, promotions or offers agreed in the physical Greenmiles Gocycle store in Antwerp-Borsbeek are valid for a maximum of 14 days if no term is stated. They are valid while supplies last, unless specifically stated otherwise.
Article 3 Prices:
The prices in the physical store and the website, barring error, always remain the same but not all products are offered online. there is a mistake, we always keep the prices in the physical store and the website the same, but not all products are offered online.
Prices shown are in Euro and include 21% VAT.
For intra-community orders/deliveries, the ordering system may use/display prices excluding VAT, taking into account current legislation.

The prices shown apply exclusively to the items as described verbatim. The accompanying photos are decorative and may differ from the actual product and may contain elements that are not included in the price.
Article 4 Payment:
For online credit card transactions, the amount will be debited from your credit card when you authorize payment for your order. If you pay by electronic transfer, your order will be processed as soon as the money has been credited to our account. Unless otherwise stated, you will pay the price stated on this website at the time we receive your order. All products you have ordered remain the property of Greenmiles until Greenmiles has received full payment.
All prices are shown in Euro €. We cannot guarantee or control the exchange rate against other currencies. You will pay the normal transaction fees and exchange rates offered by your credit card provider.
For diagnoses carried out, the diagnosis costs are always charged at the applicable hourly rate at that time. The hourly rate for diagnoses/work carried out is charged per starting quarter hour unless otherwise agreed in writing. All standard work is charged at the repair times determined by the manufacturer.
Article 4a Penalties for non-payment:
Unless expressly agreed otherwise in writing, our invoices are payable in cash. In the event of non-payment of all or part of the price, the provisions of Book XIX of the Code of Economic Law apply, and we will send you a free reminder to pay the amount due within 14 calendar days.If you do not pay within this period, the outstanding amount will be increased by an annual interest calculated at the reference interest rate increased by eight (8) percentage points referred to in Article 5, second paragraph, of the Law of 2 August 2002 on combating late payment in commercial transactions calculated from the calendar day following the day on which the free reminder was sent to you, as well as by a fixed compensation of:

Article 4b Joint and several liability of the customer:
If Greenmiles concludes an agreement with several customers, each of them will be jointly and severally liable for the full amounts owed to Greenmiles under that agreement.
Article 5 Shipping and deliveries:
Unless otherwise indicated, after an inspection prior to shipment, the offered products are usually shipped within 4 days from the Greenmiles warehouse in Antwerp - Belgium, after full payment has been received. We make every effort to respect the estimated and online displayed delivery times. Unless otherwise agreed, or written mention of possible delays, we make every effort to deliver our products to the address of the customer or consumer at the latest within 30 days after receipt of payment.
The delivery time for goods purchased in the physical shop commences after your order has been signed and/or electronically confirmed unless otherwise expressly agreed in writing between the parties.
Shipping dates and/or times are approximate. The selected shipping mode, for example "next day", refers to the transport time from the moment the goods are received by the carrier hired to deliver the goods to you until the first attempt to deliver the shipment. The goods can also be collected from the Greenmiles Gocycle store in Antwerp-Borsbeek, Herentalsebaan 297, Belgium, if required.
Orders via the online shop or physical shop can be delivered to the countries displayed in the online shop, if not agreed otherwise. Unless you request a particular delivery method that we can agree to, Greenmiles will select the carrier.
If a box is damaged on arrival, the box must not be opened and the delivery must be refused. If a delivery is accepted with undamaged packaging and further inspection reveals that the products are nonetheless damaged or defective, you must report such damage/defects to Greenmiles customer service at [email protected] within 5 working days of delivery. In doing so, you are required to provide a clear description of the damage or defect, adding photos of the packaging, damage and other relevant evidence. Damage reported after this deadline will be considered normal wear and tear or usage damage and will never be the responsibility of Greenmiles and thus your right to claim such irregularity, damage or defect will lapse. Greenmiles can only handle notifications of external damage prior to the first use.
Article 5b Retention of title:
Ownership of a product is transferred to the Customer at the point of full payment and dispatch or delivery to the shop. If necessary, the Customer undertakes to draw the attention of third parties to Greenmiles' retention of title, e.g. to anyone who would come to seize items which have not yet been paid for in full.
Article 6 Right of withdrawal and 30-day return policy:
The provisions of this article apply only to customers who purchase items online from Greenmiles n.v. in their capacity as consumers.
If for some reason you are not satisfied with your online purchase, as a consumer you can still decide to abandon your purchase within 14 days of receiving your ordered products. You must notify us in writing of your decision to return a product. Greenmiles will then provide you with a return authorization number (RMA number) and return form.
We then expect your returned product no later than 14 days later with a copy of the return form in original packaging and unused new condition including all parts and instructions. Products are no longer new once they have been electronically registered.
Upon receipt of the returned product, Greenmiles will inspect the product and packaging to determine whether it is unused and undamaged. The premise here is that as a consumer you may only inspect the item as you would in a shop, without the intervention of a representative, returned products may be inspected but not used. If the product has diminished in value in any way, Greenmiles reserves the right to hold you liable and claim compensation.
Upon confirmation of Greenmiles' inspection and provided the Buyer has followed the procedure outlined in this policy, Greenmiles will refund the original purchase price, less shipping costs, to the Buyer within 30 days of receipt of the returned product. The Buyer is responsible for all return shipping risks, insurance costs and any taxes/duties related to the return of the products.
Exceptions: The following products/services cannot be returned/refunded:
Article 7 Warranty:
With regard to the warranty of new products, a 2-year manufacturer's warranty is generally provided.
Furthermore, for more specific questions, please refer to the manufacturer's warranty policy and the information provided in this regard. Greenmiles always tries to consider suppliers who respect European warranty guidelines.
Greenmiles provides warranty service on all Gocycle products, after approval from the manufacturer, even if not purchased from Greenmiles.
Warranties can be executed by Greenmiles, or the manufacturer of the relevant products, but only upon presentation of the original purchase invoice from the first owner and express agreement of the manufacturer.
With regard to service interventions after the warranty period, Greenmiles provides a 1-year warranty on labour and parts of the works carried out.
For second-hand products, demonstration models or Nearly-New-Gocycles, the warranty conditions specifically stated for that product always apply.
End user responsibility: As an end user, you must acknowledge and follow the advice and recommendations published by the manufacturer, including but not limited to information in technical specifications, manuals, service communications and accessible media and brand websites of the products offered.
If a defect is found, you must inform Greenmiles or the manufacturer of this as soon as possible by e-mail at [email protected] or the manufacturer's correspondence e-mail address. In any case, any defect must be reported within 8 calendar days of its discovery and within the warranty period. We can certainly help you further afterwards, but in the absence of a notification of finding, your right to free repair or replacement expires after this period.

If you choose to repair a defective product yourself, use the services of an unapproved service agent, or use a replacement part not supplied by Greenmiles or the manufacturer, Greenmiles or the manufacturer will not be liable for any damage, defects, repair costs or loss caused by the use of such unapproved service or parts.
Greenmiles has the option to repair or replace a defective product free of charge (with new or reconditioned parts of the same or similar specification/age), or refund the amount equal to the purchase price of the product. Greenmiles may choose to simultaneously replace non-defective parts that are part of a sub-assembly containing the defective part. All replaced parts, components or accessories become the property of Greenmiles. In the event Greenmiles elects to replace a defective frame, a new frame of equal or greater value will be provided. The new frame may not be the exact model purchased.
Article 8 Insurance:
You are obliged to insure the following items against fire, explosion and water damage as well as theft. Items left with Greenmiles for the performance of an agreement, items belonging to Greenmiles that were given to you under retention of title for use or viewing.
Article 9 Storage:
If you take delivery of ordered products later than the agreed delivery date, the risk of any loss of quality is entirely at your expense. Any additional costs resulting from late purchase of products, such as, but not limited to, storage costs, are entirely at your expense. After completion of diagnoses or repairs, customers will be informed by e-mail, SMS or other digital notification. If you do not collect a repaired or diagnosed product within one month of this notification, a storage fee will be payable starting from the second week after notification of the repair or diagnosis.
Article 10 Privacy:
Greenmiles respects your privacy and personal information and we only use your personal information to provide you with a better driving experience, use of our website or experiences in our physical shop or workshop. Greenmiles respects the General Data Protection Regulation and the Belgian Privacy Act of 30 July 2018. As a customer, you have the legal right to access and possibly correct, supplement or delete your personal data.

Article 13 modification on terms:
Greenmiles reserves the right to amend the present Terms and Conditions at any time provided that users are informed of this on this website or by e-mail. As a consumer, you are entitled to terminate the contract in the event of a material change to the terms and conditions.
Article 14 Proof:
You agree and accept that electronic communications and backups may serve as evidence.
Article 15 Transfer of rights:
Customer's rights from an agreement between the parties can only be transferred after prior written confirmation by Greenmiles.
Article 16 Intellectual property and copyrights:
Our website, logos, texts, graphics, photographs, names, trademarks, drawings, patent rights and all our communications are protected by intellectual property rights vested either in Greenmiles, our suppliers or other right holders. You are prohibited from using and/or modifying these intellectual property rights. Thus, you may not copy or reproduce listed intellectual property rights without the prior and express written consent of Greenmiles.
Article 16b Trademarks:
All trademarks, service marks and trade names used on the website are those of manufacturers, or of Greenmiles® that offer those products and or services.
Article 17 Disclaimer:
Greenmiles cannot guarantee that the functions on this website will never be interrupted or error-free, that errors will be corrected or that this website or the server providing the website are free of viruses and other harmful components. Greenmiles makes no warranties or representations in connection with the use of the information on this website as to its correctness, accuracy, suitability, usefulness, timeliness or reliability.
Article 18 Liability:
Greenmiles is uitsluitend aansprakelijk voor schade die de klant lijdt, indien en voor zover die schade is veroorzaakt door opzet of bewuste roekeloosheid. Indien Greenmiles aansprakelijk zou zijn voor enige schade, is zij slechts aansprakelijk voor directe schade die voortvloeit uit of verband houdt met de uitvoering van een overeenkomst. Article 20 General complaints:
Complaints should reach us no later than 8 calendar days after determination via e-mail address: [email protected]. In general, we respond to complaints within 4 working days. You must demonstrate that your complaint does relate to your agreement with Greenmiles. In any event, if a complaint relates to ongoing work, this cannot result in Greenmiles being held to perform work other than that previously agreed.
Article 21 Force majeure:
In the event of force majeure, Greenmiles is not obliged to maintain or fulfil its obligations in these general terms and conditions. If the force majeure situation continues for more than 30 days, the parties may suspend their obligations in writing or dissolve the agreement.
A force majeure is a situation beyond our will and control that prevents the fulfilment of all or part of our obligations and promises. By this we mean, among others, but not limited to: flooding, fire, breakdowns in energy, telecommunications, network connection, communication systems used or website, non-delivery or late delivery by suppliers or other third parties engaged, war situations and strikes.
Article 22 Applicable law and competent court:
Any agreement between the parties should be interpreted in accordance with Belgian law and practices, except for the provisions of private international law on applicable law.
The exclusive jurisdiction with regard to any disputes arising from this shall rest with the Belgian court where the registered office of Greenmiles plc is located, unless the law imperatively provides otherwise.
